User Generated Content License Agreement

You are reading this because Great Lakes Services, LLC (“Great Wolf”) has commented on your social media post with a request for your permission to use and share your social media content. Please read and review the terms below. If you agree with these terms, please return to your social media post and reply to our comment with the hashtag #YesGWL. By replying to our comment with this hashtag you confirm that you have read, understand, and agree to be bound by this User Generated Content License Agreement (“Agreement”), and that Great Wolf may use your social media post, including any content associated therewith, (collectively, “UGC”), as set forth in this Agreement.

 

UGC License

You hereby grant to Great Wolf and its affiliates, agents, licensees, sublicensees, successors, assigns, and representatives who are acting on behalf of Great Wolf (individually and collectively, “Great Wolf Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use your UGC in any manner to be determined in the Great Wolf Parties’ sole discretion, including in any and all marketing, promotional and advertising initiatives, and in any media now or hereafter known. The Great Wolf Parties may use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter and/or edit your UGC in any manner in their sole discretion, with no obligation to you whatsoever. You irrevocably grant the Great Wolf Parties the right to use the username, real name, image, likeness, and description of you and every other person in the UGC, as well as the location or other identifying information of all such people in connection with any use of your UGC.

You hereby waive any right to inspect or approve any use by the Great Wolf Parties of your UGC or any material related thereto. The Great Wolf Parties will have no obligation to use your UGC. You agree that all right, title, and interest in and to the final product in which your UGC may appear or be incorporated into, including any copyrights therein, shall vest exclusively in Great Wolf (provided that Great Wolf shall not obtain ownership of the copyrights in your UGC pursuant to this Agreement).    

 

Representations

You represent and warrant that: (i) you are over the age of majority in your state or other territory of residence and have the authority and capacity to enter into this Agreement; (ii) you own all the rights in and to your UGC, and if other individuals are identifiable in your UGC you have the authority to grant the applicable rights set forth herein on behalf of such individual(s); (iii) in the case of any minor(s) present in your UGC, you are the parent or legal guardian of the minor(s) and agree to all the terms herein on behalf of the minor(s); (iv) your UGC is original to you and does not infringe on or violate the rights of any third party, law, rule or regulation, including but not limited to any applicable terms of use and/or standards of conduct on the website or platform where your UGC was posted; and (v) any statement, remark, or claim contained in your UGC reflects your honest views and experiences and discloses any material connections you have to any brands, products, or services that appear in your UGC.

 

Release & Indemnification

You hereby agree to release, discharge, indemnify and hold harmless the Great Wolf Parties from and against any claims, damages, expenses or liabilities arising from or related in any way to the Great Wolf Parties’ use of your UGC, including, without limitation, your breach or alleged breach of any terms or representations contained in this Agreement, and any claim of copyright infringement, libel, slander, defamation, invasion of privacy or right of publicity, or any other right. The Great Wolf Parties are under no obligation to maintain the confidentiality of any information contained in your UGC, except as pursuant to their respective privacy policies. 

 

Additional Terms

The rights granted in this Agreement are in addition to and not in lieu of the Great Wolf Terms and Conditions located at https://www.greatwolf.com/terms  (“Terms and Conditions”), which are incorporated into this Agreement, and the Great Wolf Privacy Policy located at https://www.greatwolf.com/terms (“Privacy Policy”). To the extent of any conflict or inconsistency between this Agreement and the Terms and Conditions, this Agreement will govern. If any provision of this Agreement is determined by a court of law to be illegal or unenforceable, such provision will be enforced to the maximum extent possible and the other provisions will remain effective and enforceable. All disputes relating to this Agreement are subject to the exclusive jurisdiction of the courts of Chicago, Illinois and you expressly consent to the exercise of personal jurisdiction in the courts of Chicago, Illinois in connection with any such dispute including any claim involving the Great Wolf Parties. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, shall not waive such term or condition or any subsequent breach thereof.
